1. Agreement
These Terms of Service ("Terms") govern your use of the LumioTech website, our services, and the LumioTrack platform. By using our website or engaging our services, you agree to these Terms. Specific projects and subscriptions are governed by their own written agreements, which take precedence where they differ.
2. Our services
LumioTech provides custom software development, digital marketing, SEO, creative design, IT services, and the LumioTrack platform (Mfg, Med, and Ops editions). The scope, deliverables, timeline, and fees for any engagement are defined in the proposal or agreement for that engagement.
3. Your responsibilities
- Provide accurate information and timely feedback needed to deliver the work.
- Use our software and services lawfully and only for their intended purpose.
- Keep account credentials secure and notify us of any unauthorized use.
4. Intellectual property
Unless agreed otherwise in writing: custom deliverables built specifically for you become yours upon full payment; the LumioTrack platform, our tools, frameworks, and pre-existing materials remain the property of LumioTech and are licensed to you for the duration of your agreement.
5. Client data
Data you store in LumioTrack or systems we operate for you belongs to you. We process it only to provide the service, as described in our Privacy Policy. Upon termination, we will return or delete your data as set out in your agreement.
6. Payment
Fees, billing cycles, and payment terms are set in each agreement. Overdue balances may result in suspension of services after reasonable notice.
7. Warranties & disclaimers
We deliver our work with professional skill and care. Except as expressly stated in an agreement, services are provided "as is" and we disclaim implied warranties to the fullest extent permitted by law. We do not guarantee specific marketing or search-ranking outcomes, as these depend on factors outside any provider''s control.
8. Limitation of liability
To the maximum extent permitted by law, LumioTech''s total liability arising out of any engagement is limited to the amounts paid for the services giving rise to the claim, and neither party is liable for indirect or consequential damages.
9. Termination
Either party may terminate an engagement as set out in its agreement. Sections concerning intellectual property, confidentiality, payment, and liability survive termination.
